<...> During the desk (cameral) audit of the corporate income tax return for 2020 year, to which the claimant’s statement of profit or loss (statement of comprehensive income) for 2020 year was attached, the defendant assessed the reliability of the data on the provision (reserves) for the reimbursement of future expenses, since the determination of such provisions is made by the claimant in accordance with International Financial Reporting Standards on the basis of primary documents, the verification of which is not provided for and was not conducted by the defendant in the course of a desk (cameral) audit.

The court emphasizes that the defendant did not provide the calculation of the amount by which, in the defendant’s view, PJSC "Ukrnafta" overstated the indicator in line 02 “Total differences that reduce the financial result” of Appendix RI to line 03 RI of the corporate income tax return for 2020 year.

Determining the amount by which the provision (reserves) for the reimbursement of future expenses was overstated in a taxpayer’s financial statements based on the corporate income tax declaration data without examining the primary accounting documents is impossible and is not provided for by current legislation."

According to court materials, the tax authorities stated that 3,27 billion UAH, transferred by "Ukrnafta" to the state budget’s special fund in December 2020 as an advance corporate income tax payment, cannot be considered an overpayment and cannot be returned by offsetting against payment of monetary obligations for part of net profit for 2020 year, dividends for 2018 year, and to the claimant’s bank account, because those funds are to be used for their designated purpose in accordance with Law No. 1006-IX dated 17.11.2020 (on amendments to the state budget-2020) and Cabinet Resolution No. 1195 dated 03.12.2020.

The State Tax Service emphasized that those funds received in the state budget’s special fund are not recorded in Ukrnafta’s main integrated corporate income tax card as an overpayment and may be used exclusively to pay Ukrnafta’s corporate income tax liabilities formed as a result of gas sales operations for Naftogaz.

At the same time, the District Administrative Court of Kyiv found that the tax authorities did not substantiate the legality of their position when they refused to issue a conclusion on the return of the overpaid corporate income tax by Ukrnafta for 2020 year in the amount of 3,27 billion UAH by offsetting it against payment of monetary obligations for part of net profit for 2020 year (1,92 billion UAH), dividends for 2018 year (965,7 million UAH) and returning (381,85 million UAH) to Ukrnafta’s bank account.

Recall that at the end of 2020 year the Cabinet of Ministers, Naftogaz and Ukrnafta carried out mutual settlements worth tens of billions of hryvnias, thanks to which Ukrnafta repaid its tax debts of 28,9 billion UAH.

As Ukrnafta clarified in its reports, in December 2020 it received from Naftogaz an advance payment of 12,55 billion UAH (excluding VAT) for 2,06 billion cubic meters of gas (produced back in 2006) and an advance payment of 19,66 billion UAH (excluding VAT) for future production gas.

Ukrnafta noted that it “will be able to repay this advance in full over a period of 13 years, given its current production plans, reserves and production capacity” (quote from the report).

Ukrnafta also emphasized that it intends to continue taking legal measures and negotiating with the parties involved to recover payments for the remainder of the gas produced by the company and physically transferred into the gas transmission system for storage in 2007-2014 years in the amount of 9 billion cubic meters, or to obtain that gas for subsequent sale.

As reported, in 2014 the court recognized Ukrnafta’s right to the above-mentioned 2,06 billion cubic meters of gas, for which Naftogaz ultimately made payment at the end of 2020.

Currently the Commercial Court of Kyiv is considering Ukrnafta’s claim against Naftogaz to recover 9,1 billion cubic meters of gas that were produced by the claimant in 2007-2023 years (case No. 910/3660/18).

In addition, shareholders were proposed as part of the asset-splitting process to settle the dispute with Naftogaz over gas produced by the company in 2007-2013 years either by concluding a separate agreement or by concluding a settlement agreement in the framework of court case No. 910/3660/18.

Later Ukrnafta supplemented the agenda for the meeting on 30.11.2021 with an item on the contribution of assets to the charter capital of Nafta-Activ LLC, in which it also holds 100% ownership, with the subsequent buyout of that company by offshore entities of Ihor Kolomoisky and partners.

At the beginning of February 2021, Justice Minister Denys Maliuska said that the Stockholm arbitration recognized the absence of its jurisdiction to hear the claim of Ukrnafta’s minority shareholders against the state of Ukraine for recovery of more than 6 billion USD.

Ukrnafta reported a profit of 4,15 billion UAH for the first three quarters of 2021 year (for the same period last year there was a loss of 3,1 billion UAH).

The company’s net revenue from sales of products (goods, works, services) in January–September amounted to 24,96 billion UAH (for the same period in 2020 year – 16,1 billion UAH).

She recalled that lawyers for companies affiliated with the oligarch had asked the court to prohibit the Committee from using pre-trial investigation materials from the criminal proceedings led by the National Anti-Corruption Bureau during the hearing.

“This appellate decision, like the previous one in OASK, we consider to be contrary to the case law of the Supreme Court… We are waiting for the full text of the decision to analyze the motives of the appellate instance. We will file a cassation appeal and will defend our position in the Supreme Court,” Pishchanska added.

Ukrnafta reported that in December 2019 and January 2020 it concluded agreements with its debtors on the restructuring of accounts receivable for crude oil sold in 2015 in the amount of 7,46 billion UAH. The settlement procedure provides for a one-time payment upon signing the restructuring agreement for quarterly payments through 2024-2026 years, including payment of interest at the rate of 14,4%. Over 2019-2020 years the company received payments totaling 1,58 billion UAH.

As Finbalance wrote, 26.08.2021 the Commercial Court of Poltava region opened proceedings in case No. 917/1234/21 on the bankruptcy of Garant-UTN LLC. According to court materials, the initiator of this procedure is the Main Department of the State Tax Service in Poltava region. The court recognized the tax authorities’ claims in the amount of 387,4 million UAH.

Garant-UTN LLC is part of a group of companies that in 2015 bought oil from Ukrnafta and whose debt of 7,5 billion UAH was restructured by Ukrnafta in December 2019 for a period of 3-6 years.

NABU has indicated a possible connection of the group of related structures (including Garant-UTN) with the “Privat” group (NABU detectives are investigating transactions of these structures with Ukrnafta).

- No. 0003960703, by which the claimant’s corporate income tax liability was increased by 1,3 billion UAH;

- No. 00003970703, by which the claimant’s negative taxable base for corporate income tax was reduced by 491,2 million UAH.

Court materials show that the tax authorities’ claims against Ukrtatnafta concern the company’s purchases of oil from Kotlas LLC, Halnafta LLC, TD Prykarpattyanaftotreyd LLC, Garant-UTN LLC, Tekhtreid Group LLC, which in 2015 in turn bought oil from Ukrnafta and whose debt of 7,5 billion UAH was restructured by Ukrnafta in December 2019 for a period of 3-6 years.

16.11.2021 Окружний адмінсуд м. Києва (ОАСК) задовольнив позов ПАТ "Укрнафта" до Центрального міжрегіонального управління ДПС по роботі з великими платниками податків (у справі №640/23486/21) та скасував податкові повідомлення-рішення від 07.05.2021:

- №177/04-01-01, яким позивачу збільшено суму грошового зобов`язання за платежем податок на прибуток у розмірі 4,28 млрд грн;

- №178/04-01-01, яким позивачу зменшено суму від`ємного значення об`єкта оподаткування податком на прибуток в сумі 6,67 млрд грн.

Згідно з судовими рішеннями, ці податкові повідомлення-рішення були прийняті за наслідками проведення податківцями камеральної перевірки даних, задекларованих у податковій звітності з податку на прибуток "Укрнафти" за 2020 рік.

"Укрнафту" було зобов`язано зобов`язано збільшити фінансовий результат до оподаткування на суму 11 млрд грн, що є сумою штрафних санкцій та пені, нарахованих і сплачених позивачем у грудні 2020 року.

Податківці зауважували, що за даними звіту про фінансові результати (звіту про сукупний дохід) ПАТ Укрнафта" за 2020 рік, підприємство не збільшило фінрезультат до оподаткування на суму 19,43 млрд грн, внаслідок чого завищено рядок 02 «Усього різниць, на які зменшується фінансовий результат» Додатку РІ до податкової декларації з податку на прибуток підприємств за 2020 рік.

При цьому "Укрнафта" висловлювала думку про безпідставність доводів ДПС, що підприємство мало збільшити фінансовий результат до оподаткування шляхом коригування (збільшення) резерву (забезпечень) у фінансовій звітності відповідно до МСФЗ на суму 19,43 млрд грн, оскільки такі дані (суму) можливо встановити виключно на підставі перевірки фінансової звітності та первинних бухгалтерських документів та неможливо встановити в ході проведення камеральної перевірки.

У свою чергу Окружний адмінсуд м. Києва констатував, що оскільки закон «Про внесення змін до Податкового кодексу України щодо вдосконалення адміністрування податків, усунення технічних та логічних неузгодженостей у податковому законодавстві» №466-IX від 16.01.2020 був прийнятий і набув чинності за шість місяців до початку нового бюджетного періоду (2021 року), то в силу підпункту 4.1.9. пункту 4.1. статті 4 Податкового кодексу, запроваджене цим Законом правило щодо необхідності збільшити фінансовий результат податкового (звітного) періоду на суму штрафів, пені, нарахованих контролюючими органами та іншими органами державної влади за порушення вимог законодавства, підлягає застосуванню з 2021 року, що є новим бюджетним періодом, наступним за періодом, в якому набув чинності згадуваний закон та не підлягає застосуванню при поданні декларації з податку на прибуток підприємств за 2020 рік.

Також з акту перевірки вбачається, що за результатом аналізу звіту про фінансові результати (звіт про сукупний дохід) позивача за 2020 рік відповідач зробив висновок, що позивач не здійснив коригування резерву (забезпечень) для відшкодування наступних (майбутніх) витрат на 19 431 259 247 грн, у зв`язку з чим відбулося завищення показника у рядку 02 «Усього різниць, на які зменшується фінансовий результат» додатку РІ до рядка 03 РІ податкової декларації з податку на прибуток підприємств за 2020 рік.

<...> При проведенні камеральної перевірки податкової декларації з податку на прибуток підприємств за 2020 рік, додатком до якої є звіт про фінансові результати (звіт про сукупний дохід) позивача за 2020 рік, відповідач надавав оцінку достовірності даних щодо резерву (забезпечень) для відшкодування наступних (майбутніх) витрат, оскільки визначення резерву (забезпечень) для відшкодування наступних (майбутніх) витрат здійснюється позивачем відповідно до міжнародних стандартів бухгалтерського обліку та фінансової звітності на підставі первинних документів, перевірка яких в порядку камеральної перевірки відповідачем не передбачена і не здійснювалась.

Суд наголошує, що розрахунок суми, на яку, як вважає відповідач, ПАТ «Укрнафта» завищило показник у рядку 02 «Усього різниць, на які зменшується фінансовий результат» додатку РІ до рядка 03 РІ податкової декларації з податку на прибуток підприємств за 2020 рік, відповідач не надав.

Визначення суми завищення резерву (забезпечень) для відшкодування наступних (майбутніх) витрат у фінансовій звітності платника податків на підставі даних податкової декларації з податку на прибуток підприємств без дослідження первинних бухгалтерських документів є неможливим та чинним законодавством не передбачено".

Як писав Finbalance, 29.09.2021 Окружний адмінсуд м. Києва також задовольнив позов "Укрнафти" до Центрального міжрегіонального управління ДПС по роботі з великими платниками податків (у справі №640/18646/21) і зобов`язав податківців надати Держказначейству висновок про повернення надміру сплачених коштів з податку на прибуток за 2020 рік у розмірі 3,27 млрд грн шляхом їх

- зарахування 1,92 млрд грн у рахунок сплати грошових зобов’язань з частини чистого прибутку за 2020 рік;- зарахування 965,7 млн грн у рахунок сплати дивідендів за 2018 рік;- повернення 381,85 млн грн на банківський рахунок "Укрнафти".

Крім того, суд стягнув з ДПС на користь "Укрнафти" 15,3 млн грн пені.

Згідно з судовими матеріалами, податківці констатували, що 3,27 млрд грн, перераховані "Укрнафтою" до спецфонду держбюджету в грудні 2020 року як авансовий внесок з податку на прибуток, не можуть вважатися надміру сплаченими і не підлягають поверненню шляхом зарахування в рахунок погашення грошових зобов’язань по сплаті частини чистого прибутку за 2020 рік, дивідендів за 2018 рік і на рахунок позивача в банку, оскільки підлягають використанню згідно з цільовим призначенням, на виконання та в порядку, передбаченим законом №1006-IX від 17.11.2020 (про зміни в держбюджеті-2020) і постановою Кабміну №1195 від 03.12.2020.

ДПС наголошувала, що згадані кошти, які надійшли до спецфонду держбюджету, не обліковуються в основній інтегрованій картці "Укрнафти" з податку на прибуток як переплата і можуть бути використані виключно в рахунок сплати грошових зобов’язань “Укрнафти” з податку на прибуток, сформованих за результатами проведених операцій з продажу газу для “Нафтогазу”.

Разом з тим, Окружний адмінсуд м. Києва вирішив, що податківці не довели законність своєї позиції, коли відмовилися оформити висновок про повернення надміру сплачених "Укрнафтою" грошових коштів з податку на прибуток за 2020 рік у розмірі 3,27 млрд грн шляхом їх зарахування в рахунок сплати грошових зобов’язань з частини чистого прибутку за 2020 рік (1,92 млрд грн), дивідендів за 2018 рік (965,7 млн грн) і повернення (381,85 млн грн) на банківський рахунок “Укрнафти”.

Нагадаємо, в кінці 2020 року Кабмін, "Нафтогаз" і "Укрнафта" провели між собою взаєморозрахунки на десятки мільярдів гривень, завдяки яким "Укрнафта" погасила свої податкові борги на 28,9 млрд грн.

Як уточнювала "Укрнафта" в своїй звітності, у грудні 2020 року вона отримала від "Нафтогазу" передоплату в сумі 12,55 млрд грн (без ПДВ) за 2,06 млрд куб м газу (видобутого ще в 2006 році) та передоплату в сумі 19,66 млрд грн (без ПДВ) за природний газ майбутнього видобутку.

"Укрнафта" зауважувала, що "зможе погасити цю передоплату в повному обсязі протягом періоду, який складає 13 років, з огляду на її поточні виробничі плани, запаси та виробничі потужності" (цитата зі звітності).

Також “Укрнафта” наголошувала, що планує продовжити вживати правові заходи та вести переговори із задіяними сторонами для стягнення платежів за решту газу, видобутого компанією і фізично переданого на зберігання до ГТС у 2007-2014 роках в обсязі 9 млрд кубів, або для отримання цього газу для подальшого продажу.

Як повідомлялося, в 2014 році суд визнав право “Укрнафти” на вказані вище 2,06 млрд куб м газу, за які “Нафтогаз” у кінці 2020 року зрештою здійснив оплату.

Наразі Госпсуд м. Києва розглядає позов "Укрнафти" до "Нафтогазу" про стягнення 9,1 млрд кубів газу, який був видобутий позивачем у 2007-2023 роках (справа №910/3660/18).

18.05.2021 акціонери "Укрнафти" ухвалили рішення, з якого випливало, що "Укрнафта" має сплатити акціонерам дивіденди за 2018 рік і частину прибутку за 2020 рік загалом на суму 5,8 млрд грн, з яких держбюджет отримає 2,9 млрд грн.

Контекст

Власником 50%+1 акція "Укрнафти" є "Нафтогаз". Як інформував міністр юстиції Денис Малюська, бенефіціарами компаній Bridgemont Ventures Limited, Littop Enterprises Limited, Bordo Management Limited, яким належить 40,1% "Укрнафти", є Ігор Коломойський, Геннадій Боголюбов, Ігор Палиця.

Як повідомлялося, заплановані на 30.11.2021 позачергові збори акціонерів ПАТ "Укрнафта" не відбулися через відсутність кворуму. Для участі у зборах зареєструвалося лише 1,1% від загальної кількості акціонерів компанії.

Раніше стало відомо, що "Укрнафта" оголосила позачергові збори акціонерів не лише на 30.11.2021, але й 23.12.2021.

На них акціонерам пропонувалося розділити активи "Укрнафти" між двома компаніями – ТОВ "Нафта-Актив", яке планується передати міноритарним акціонерам "Укрнафти" на чолі з Ігорем Коломойським, а також ТОВ "Укргазактив", яке потім має викупити "Нафтогаз України". Після цього "Укрнафта" має викупити свої акції у "Нафтогазу" та міноритарних акціонерів та анулювати їх.

Крім того, акціонерам "Укрнафти" в рамках процесу розподілу активів пропонується врегулювати суперечку з "Нафтогазом" щодо видобутого компанією в 2007-2013 роках газу або укладанням окремої угоди, або укладанням мирової угоди в рамках судової справи №910/3660/18.

Однак 09.11.2021 "Нафтогаз" зазначав, що в рамках поділу активів "Укрнафти" з міноритарними акціонерами планує сам залишитися власником цієї компанії без участі в ній Ігоря Коломойського та його партнерів, а не навпаки, як це передбачає порядок денний на 30.11.2021.

Пізніше "Укрнафта" доповнила порядок денний засідання на 30.11.2021 питанням про передачу майна до статутного капіталу ТОВ "Нафта-Актив", в якій вона також є 100% власником, з наступним викупом цієї компанії офшорами Ігоря Коломойського і партнерів.

На початку лютого 2021 року міністр юстиції Денис Малюська заявив, що Стокгольмський арбітраж визнав відсутність своєї юрисдикції для розгляду позову міноритаріїв “Укрнафти” до держави Україна про стягнення понад 6 млрд дол.

"Укрнафта" за три квартали 2021 року звітувала про прибуток 4,15 млрд грн (за цей же період минулого року був збиток 3,1 млрд грн).

Чистий дохід компанії від реалізації продукції (товарів, робіт, послуг) у січні-вересні становив 24,96 млрд грн (за цей же період 2020 року - 16,1 млрд грн).

На кінець ІІІ кварталу активи "Укрнафти" становили 39,2 млрд грн (на початок року - 38,1 млрд грн), у т.ч. дебіторська заборгованість за продукцію, товари, роботи, послуги - 8,3 млрд грн (на початок року - 6,15 млрд грн).

08.04.2021 Верховний Суд вирішив залишити без змін ухвалу Госпсуду м. Києва від 20.10.2020 та постанову Північного апеляційного госпсуду від 25.01.2021 (у справі №910/10890/19), якими було залишено без розгляду позов заступника генпрокурора (був поданий в інтересах Кабміну) до “Укрнафти” про стягнення пені за несвоєчасно сплачені дивіденди в розмірі 1,5 млрд грн у 2011-2013 роках.

17.06.2021 Окружний адмінсуд м. Києва частково задовольнив позов "Укрнафти" до Державної податкової служби і Центрального міжрегіонального управління ДПС по роботі з великими платниками податків (в справі №640/23620/19) та скасував податкові-повідомлення рішення від 16.08.2019

- №0003324203, яким компанії за порушення строку сплати суми грошового зобов`язання з ПДВ застосовано штраф у розмірі 17,85 млн грн;

- №0003334203, яким за порушення строку сплати суми грошового зобов`язання з ПДВ застосовано штраф у розмірі 244,5 млн грн.

За інформацією "Укрнафти", на кінець І кварталу 2021 року її борг за розрахунками з бюджетом становив 1 млрд грн (на початок року - 880,3 млн грн).

У кінці березня-2021 Антимонопольний комітет України (АМКУ) наклав штраф на "Укрнафту" в розмірі 2,37 млрд грн, а також штраф 2,3 млрд грн - на "Укртатнафту" (Кременчуцький НПЗ; власником 43% акцій цього підприємства є "Нафтогаз"; решта акцій належать Ігорю Коломойському та його партнерам).

Разом з тим, у листопаді глава АМКУ Ольга Піщанська повідомила, що Шостий апеляційний адмінсуд відхилив скаргу АМКУ і залишив чинним рішення Окружного адмінсуду Києва, який визнав недопустимим використання матеріалів розслідування НАБУ у справі про штраф на суму 4,7 млрд грн за змову на паливному ринку між компаніями, які пов`язані з Ігорем Коломойським.

Вона нагадала, що адвокати пов`язаних з олігархом компаній вимагали в суді заборонити Комітету використовувати під час розгляду справ матеріали досудового розслідування у кримінальному провадженні, яке веде Національне антикорупційне бюро.

"Це рішення апеляційної інстанції, як і попереднє в ОАСК, ми вважаємо таким, що суперечить правозастосовній практиці Верховного Суду… Чекаємо повного тексту рішення для аналізу мотивів апеляційної інстанції. Подаємо касацію і відстоюватимемо нашу правоту у Верховному Суді", – додала Піщанська.

Як інформувала "Укрнафта", в грудні 2019 року та січні 2020 року вона уклала договори зі своїми дебіторами про реструктуризацію дебіторської заборгованості за реалізовану в 2015 році сиру нафту в сумі 7,46 млрд грн. Порядок розрахунків передбачає разовий платіж у момент підписання договору про реструктуризацію за поквартальні платежі до 2024-2026 років, включаючи сплату відсотків у розмірі 14,4%. Протягом 2019-2020 років компанія отримала платежі в сумі 1,58 млрд грн.

Як писав Finbalance, 26.08.2021 Госпсуд Полтавської області відкрив провадження в справі №917/1234/21 про банкрутство ТОВ "Гарант-УТН". Згідно з судовими матеріалами, ініціатор цієї процедури - Головне управління ДПС у Полтавській області. Суд визнав вимоги податківців на 387,4 млн грн.

ТОВ "Гарант-УТН" входить у групу компаній, які в 2015 році купували нафту в "Укрнафти" та заборгованість яких на 7,5 млрд грн була реструктуризована "Укрнафтою" в грудні 2019 року на строк 3-6 років.

НАБУ заявляло про можливий зв`язок групи відповідних структур (у т.ч. "Гарант-УТН") з "приватівцями" (детективи НАБУ розслідують угоди цих структур з "Укрнафтою").

У листопаді-2021 "Укрнафта" заявила, що загальна сума відповідної погашеної заборгованості із відсотками склала 2,66 млрд грн

Додамо, що 27.07.2021 Окружний адмінсуд м. Києва задовольнив позов "Укртатнафти" (володіє Кременчуцьким НПЗ; 56% акцій належать "приватівцям" та Олександру Ярославському, 43,05% - "Нафтогазу") до Центрального міжрегіонального управління ДПС по роботі з великими платниками податків (у справі №640/11594/21) та скасував кілька податкових повідомлень-рішень від 30.12.2020, у т.ч.

- №00003920703, яким позивачу збільшено суму грошового зобов`язання з ПДВ у розмірі 2,19 млрд грн (у т.ч. за податковим зобов`язанням - 1,75 млрд грн, штрафні санкції - 438,5 млн грн);

- №0003960703, яким позивачу збільшено суму грошового зобов`язання з податку на прибуток у розмірі 1,3 млрд грн;

- №00003970703, яким позивачу зменшено суму від`ємного значення об`єкта оподаткування податком на прибуток у розмірі 491,2 млн грн.

Із судових матеріалів випливає, що претензії податківців до "Укртатнафти" стосуються операцій компанії з придбання нафти в ТОВ "Котлас", ТОВ "Галнафта", ТОВ "ТД "Прикарпаттянафтотрейд", ТОВ "Гарант-УТН", ТОВ "Техтрейд Груп", які в 2015 році в свою чергу купували нафту в "Укрнафти" та заборгованість яких на 7,5 млрд грн була реструктуризована "Укрнафтою" в грудні 2019 року на строк 3-6 років.
